Abstract

Proxy access was the preeminent theme of 2016 proxy season. More than 200 shareholder proposals were submitted on that topic, twice the number submitted in 2015. Companies' responses to these proposals had also been significantly different than those submitted during the 2015 proxy season, implementing a proxy access bylaws.

Proxy access is still expected in 2017. This and a range of other significant considerations for the 2017 proxy season will be discussed by a panel of thought leaders and practitioners assembled by The Knowledge Group in this two-hour live Webcast.

Key topics that will be covered in this course are:

- Proxy Access Update and Other Shareholder Proposals
- Developments on Executive Compensation
- Dodd-Frank Compensation-Related Rulemaking
- Other Key Disclosure and Specialized Disclosure Topics
- Nasdaq Rule Requirements
- Shareholder Engagement and Activism Developments
