Seward & Kissel Names Two Partners and One Counsel

New York, NY, January 07, 2011 --(PR.com)-- Seward & Kissel LLP (www.sewkis.com) is pleased to announce that Jeffrey M. Berman and Michael S. Timpone have been elected Partners and Michael E. O’Brien as Counsel, effective January 1, 2011. All were previously Associates of the Firm.

Jeffrey M. Berman, 35, is a Partner in Seward & Kissel’s Corporate Finance Group. He has practiced at the Firm since 2000. Mr. Berman specializes in the areas of corporate finance and asset securitization. He has extensive experience representing participants in multi-seller commercial paper conduit transactions, CLO and CDO facilities and syndicated secured revolving credit and term loan facilities. Mr. Berman also advises clients in workouts and restructurings in connection with the asset-based financing transactions and secured lending facilities.

Mr. Berman regularly represents dealers, placement agents, underwriters and issuers in a wide variety of asset-backed, market value and synthetic securitization programs. He has been involved in structuring, establishing and documenting a number of asset-backed commercial paper programs. Mr. Berman also frequently advises investment funds and mangers in connection with transactions, financings and general corporate matters.

Mr. Berman received his B.A. in 1997 from the University of Pennsylvania and his J.D. in 2000 from Cornell University School of Law. Mr. Berman is a Member of the American Bar Association and the New York State Bar Association.

Michael S. Timpone, 39, is a Partner in the Corporate Finance Group at Seward & Kissel. He devotes most of his time to activities of the Firm’s Transportation Finance Group, a cross section of attorneys within the Firm from the Corporate Finance, Corporate Securities, Litigation and Tax Departments with expertise on matters of interest to clients in the transportation industry. Mr. Timpone is also part of the Firm’s Business Transaction Group. In such capacities, Mr. Timpone works on matters ranging from the formation of joint ventures, mergers and acquisitions, asset finance transactions, registered and unregistered securities transactions and restructurings.

Mr. Timpone is a Member of the Association of the Bar of the City of New York (a member of the Maritime Law Committee), the American Bar Association and the Maritime Law Association of the United States. He was included in Chambers USA 2009 and 2010 as an Associate to watch in Transportation: Shipping: Finance (New York) – National.

Mr. Timpone received his B.A. with honors in 1995 from Rutgers College and his J.D. in 2000 from Fordham University School of Law.

Michael E. O’Brien, 40, is Counsel in Seward & Kissel’s Employee Benefits Group. He has been practicing in the ERISA/Employee Benefits area for over twelve years. His practice focuses on ERISA and employee benefits and executive compensation matters, including the treatment of employee benefits in mergers and acquisitions, structuring and compliance matters with respect to ERISA’s “plan asset” rules – specifically in connection with VCOCs and REOCs, Title I fiduciary compliance matters, and negotiating ISDA and prime brokerage agreements and advising clients with respect to compensation and equity arrangements and issues arising under the deferred compensation rule of Code Sections 409A and 457A.

Mr. O’Brien’s clients include Fortune 500 companies and private equity investors on both the buyer and seller sides of deals, as well as investment fund managers, financial institutions, publicly traded companies, and individual fiduciaries.

Mr. O’Brien received his B.S.B.A. from Georgetown University, summa cum laude, in 1992, and his J.D. degree from Harvard Law School, cum laude, in 1998. He is admitted to practice before the courts in New York.
