Carla A.R. Hine focuses her practice on antitrust and consumer protection regulatory matters. She has experience in a variety of industries, including health care, private equity, consumer products, pharmaceuticals, construction materials, defense, energy commodities, gasoline, oil and related exploration products and services, metal products and sports teams.

Carla counsels clients on mergers and acquisitions, collaborations and compliance with the Hart-Scott-Rodino (HSR) Act and international merger notification regimes. On August 26, 2016 the Federal Trade Commission (FTC) has approved the final amendments to the Hart-Scott-Rodino (HSR) Premerger Notification Rules, which went into effect on September 1, 2016. The updates streamline instructions to the Premerger Notification Form and allow DVD submission of HSR filings, potentially making it easier for parties to file. Other recent HSR developments include further guidance on 4(c)/(d) documents, foreign entities, and a recent change in position regarding calculation of the size of transaction in LBO transactions.

These and other HSR updates and developments should be carefully analyzed by companies to ensure compliance and avert serious consequences – whether delays for caused by incomplete or incorrect filings, or penalties related to failures to file.
