FundPaaS Launches “Reg A+ Portal as a Service” for Broker Dealers & Crowdfunding Portals

FundPaaS, a funding platform as a service for crowdfunding portals and small businesses raising capital online, has launched the first Reg A+ Portal as a Service for Broker Dealers and Crowdfunding Portals interested in conducting Reg A+ offerings for their clients in compliance with new regulations.

San Francisco, CA, September 30, 2015 --(PR.com)-- FundPaaS, a funding platform as a service for crowdfunding portals and small businesses raising capital online, has launched the first Reg A+ Portal as a Service for Broker Dealers and Crowdfunding Portals interested in conducting Reg A+ offerings for their clients in compliance with new regulations. Reg A+ or Title IV of the JOBS Act was passed into law three months ago and enables companies to raise up to $50MM in capital from anyone irrespective of income or net worth. Investment limits of 10% of income or net worth do apply, however, for non-accredited investors.

The tool is the perfect lead generation product for Broker Dealers since they’d typically work with issuers to file with the SEC and conduct the offering after the Test The Waters (TTW) campaign is done. Having their own Reg A+ Portal, enables them to offer an end to end solution by starting the relationship at step 1 of a Reg A+ deal and on equal footing with the best financial and compliance technology available today.

Each portal comes equipped with an easy way for issuers to upload investor communication materials for review by an attorney and due diligence experts to comply with Finra’s Rule 2210 which states that materials used in connection with a Regulation A+ offering are subject to content standards (all materials must be fair, balanced, and not misleading), and may be subject to registered principal pre-approval and to filing with FINRA. FundPaaS, has negotiated standard pricing packages on behalf of its clients if needed or leaves the option open as to who conducts the TTW work since Broker Dealers may do this in-house. “Legal firms could also leverage the same technology,” said Amilcar Chavarria, FundPaaS’ CEO, a crowdfunding expert, Wall Street veteran, and graduate from the University of Pennsylvania’s Wharton School of Business.

The Reg A+ Test The Waters Portals can be branded by each Broker Dealer or Investment Portal Operator to host a sleek deal page with information about the issuer, team, marketing materials including videos and recent news among other customizable sections like FAQs. The portal can be hosted on a the issuer’s website as well, by simply pasting two lines of code.

Potential investors can see the level of public interest received as a meter on each deal and reserve shares (not invest at this point), follow a deal and share it with people within their network. Once a company's offering is qualified by the SEC and the company moves forward with the offering, FundPaaS will charge an administration fee of $45 per investor for facilitating each transaction.

In addition to this cutting edge FinTech product, FundPaaS has a partnership portfolio that enables it to be a one-stop shop for anyone trying to raise capital through a Reg A+ deal, including partners to conduct Bad Actor Checks, Issuer Due Diligence, 3rd Party Audits and Financial Reporting.
