JTM Food Group and Culinary Standards Announce JTM’s Acquisition of Culinary Standard’s School (K-12) Business

Harrison, OH, March 07, 2012 --(PR.com)-- JTM Food Group (“JTM”) and Culinary Standards (“Culinary”) announced today that the Companies have a signed agreement for JTM to acquire the school business operations of RSW Distributors, LLC, dba, Culinary Standards, subject to completion of JTM’s due diligence and at JTM’s sole discretion. The acquisition agreement includes all of the intangible assets of Culinary’s school business including brand names, trademarks, formulations, recipes, goodwill, etc.

The acquisition is a natural fit for JTM Food Group according to Mr. Tony Maas, President & CEO, JTM. “We have admired the products Culinary has been providing to schools for many years. They have been producing great tasting, kettle-cooked products which fit perfectly within our capabilities,” Maas said.

Culinary Standards’ school business will begin to transition to JTM immediately with JTM integrating the Culinary product line into its product offering. According to Mr. Jack Maas, SVP, Sales and R&D, JTM is in a position to make the transaction virtually seamless and transparent to its customers. According to Maas, “We have the good fortune of having a very capable transition team including Mr. Jose Quinones, Culinary’s President, Sales and Marketing, who has now joined the JTM organization, and the complete JTM management, R&D, and customer support teams behind this transition.”

According to Mr. Quinones, JTM is the perfect match. “JTM has been producing nutritious, fully cooked kettle products that are very comparable and compatible with the Culinary line of school products. Both companies have been producing excellent products with bold, exciting flavors for the school food service industry for many years. I am extremely excited that the products we have worked so hard to develop will be carried forward by the very capable team at JTM.” Quinones added, “I’m personally also very excited to be joining a company like JTM that has an extremely deep set of resources from R&D to culinary to marketing services.”

JTM’s Senior Director of National School Sales, Mr. Brian Hofmeier also commented. “Culinary Standards has a great lineup of school products that our sales team is very excited about offering our customers, and we are excited to welcome Jose to the JTM Family.” Hofmeier continued, “This transition is being conducted in close coordination with Culinary and the USDA and meets all state and federal guidelines for a safe and effective transition. Culinary Standards and the USDA have authorized the transition of school commodity raw materials into the possession of JTM Food Group for further processing.”

The transaction will further strengthen JTM’s leading position in the industry in the production of kettle cooked products within the K-12 School Food Service arena.
