Helix BioMedix Completes $2 Million Private Placement to Advance Xeroderma Pigmentosum Development Program

Financing strengthens balance sheet and accelerates advancement of proprietary DNA repair technology targeting UV-induced DNA damage.

Bothell, WA, August 29, 2026 --(PR.com)-- Helix BioMedix, Inc. (OTCIQ: HXBM), a preclinical stage biotechnology company currently focused on developing innovative DNA repair therapeutics for severe dermatological diseases, today announced the completion of a private placement financing on August 25, 2026, generating gross cash proceeds of $2 million.

Under the terms of the financing, the Company issued 100,000 shares of common stock to an accredited investor, who is a current stockholder of the Company holding over 50% of the Company’s outstanding securities, at a purchase price of $20.00 per share. Under the investment, the investor holds two special rights. First, a one-time discount right to purchase securities in the Company's next qualified financing at 80% of the lowest per-share price paid by any other investor in that round, exercisable at the round's initial closing. Second, weighted-average anti-dilution protection: if the Company's first down-round financing (below the $20.00 per-share reference price) occurs within 36 months of closing, the investor will receive additional "top-up" shares at no cost to offset the lower price. Both rights are one-time only and expire on the earlier of 36 months after the closing date or, with respect to the discount right, the Company's next qualified financing, and, with respect to the anti-dilution projection, the Company’s first down-round.

The proceeds will be used primarily to advance Helix BioMedix's lead development program for Xeroderma Pigmentosum (XP), an ultra-rare genetic disease characterized by defective DNA repair mechanisms that leave patients highly vulnerable to ultraviolet (UV) radiation-induced DNA damage and significantly increased skin cancer risk.

The financing further strengthens the Company's balance sheet and provides additional resources to support ongoing preclinical development activities, regulatory planning, and key milestones designed to position the XP program for future clinical advancement.

The securities were offered and sold in a private placement exempt from registration under Section 4(a)(2) of the Securities Act of 1933, as amended, and/or Rule 506 of Regulation D promulgated thereunder, in reliance on representations that the investor is an "accredited investor" as defined in Rule 501(a) of Regulation D.

Addressing a Significant Unmet Medical Need
Helix BioMedix's lead program is focused on developing a first-in-class therapeutic approach designed to repair UV-induced DNA damage in the skin of patients with XP. The Company’s polypeptide DNA Damage Response (DDR) enzyme is based on repair pathways necessary to prevent cancerous mutations and maintain skin homeostasis. Individuals with XP pigmentosum are 10,000 times more likely to develop non-melanoma skin cancer and up to 2,000 times more likely to develop melanoma skin cancer compared to individuals without this condition.1 Current management of XP relies heavily on strict avoidance of UV exposure and intensive surveillance for skin cancers, underscoring the need for innovative therapies that address the underlying biological cause of the disease.
