Rochester, NY, July 24, 2019 --(PR.com
)-- Rob Schatz, a partner with ESOP Plus®: Schatz Brown Glassman, LLP and Howard Kaplan, CEO, Kaplan Fiduciary Group will discuss ESOP Company Governance: The Roles of ESOP Trustees and Corporate Directors at The 29th Annual Las Vegas Conference & Tradeshow of the ESOP Association November 13-15 at the Paris Las Vegas Hotel & Casino.
ESOPs are employee stock ownership plans that own shares of corporations for the benefit of the employees of the corporation.
The discussion will cover the unique relationships among the Board of Directors, Trustee, and ESOP committee or plan administrator of corporations owned wholly or in part by an employee stock ownership plan. Among other things, Schatz and Kaplan will consider the responsibilities of the Board of Directors in appointing and monitoring the actions of the ESOP Trustee as well as the obligations of the ESOP Trustee to vote for the board of directors.
Rob Schatz has some 30 years of experience as a lawyer representing ESOP companies, ESOP trustees, ESOP lenders and shareholders selling to ESOPs. Howard Kaplan has 30 years of experience in financial, investment advisory and trust services and has specialized for the last 15 years in employer securities and ESOP fiduciary services.
Rob Schatz said, “With the rapidly increasing use of the employee stock ownership plan to facilitate the transfer of companies to their employees, it is important for corporate boards and ESOP trustees to understand the obligations that they owe to the employee owners of the business.”
